Terms of Service

1. Who we are and agreeing to these terms

"UBE-YOU," "we," "us" and "our" mean UBE-YOU, a custom printing business located at 16845 N 29th Ave, Suite 1-16, Phoenix, Arizona 85053, and its owners, employees and agents. "You" means the person or organization placing an order, requesting a quote, paying an invoice, or using this website.

These Terms of Service, together with our Returns & Refunds Policy and Privacy Policy (together, the "Terms"), apply to every order, quote, invoice and use of ube-you.com, whether you order online, by phone, by email, by text or in person. By checking the agreement box at checkout, paying an invoice, approving a proof, or otherwise placing an order, you agree to the Terms. If you are ordering for a business, team, school, church or other organization, you confirm you are authorized to accept the Terms on its behalf, and both you and the organization are bound by them.

You must be at least 18 years old, or have a parent or guardian place the order, to buy from us.

2. Custom products

Almost everything we sell is made to order to your specifications — your artwork, text, colors, sizes, quantities and print locations. Because custom products cannot be resold to anyone else, all sales are final except as specifically stated in our Returns & Refunds Policy. You are responsible for checking spelling, grammar, dates, names, numbers, sizes, quantities, colors, garment styles and print placement before you order.

3. Your artwork and content

"Artwork" means every logo, image, photo, text, font, design, file or idea you upload, send or describe to us, including anything you create with our online design tool.

By submitting artwork, you represent and warrant that:

• you created the artwork yourself, or you own it, or you have written permission from the owner to reproduce it on the products you order, in the quantities you order;
• the artwork does not infringe or violate any copyright, trademark, trade dress, right of publicity or privacy, or other right of any person or company — including sports leagues and teams, schools and universities, brands, bands, movies, TV shows, games, characters, celebrities and other people;
• the artwork is not defamatory, obscene, threatening or otherwise unlawful; and
• all information you give us is true and complete.

We do not review artwork for legal ownership and we are not responsible for verifying it. Printing your artwork does not mean we have approved it, and it does not shift any responsibility for it to us. You are solely responsible for your artwork and for any claim that it infringes someone's rights. We may ask you for proof of permission at any time and may hold or cancel an order until we receive it.

Image quality is your responsibility. Low-resolution, blurry, pixelated or poorly cropped files, unusual fonts, very thin lines and tiny text may not print clearly. Our design tool shows warnings where it can, but we print the files we receive and are not responsible for results caused by the quality of the artwork you provide. We may, but are not required to, contact you about artwork problems or offer artwork cleanup for an extra charge.

4. Our right to refuse or cancel

We reserve the right, in our sole discretion, to refuse, decline, cancel or stop any order, quote or design at any time, for any reason or for no stated reason. Without limiting that right, we will not knowingly print anything that, in our judgment:

• is illegal, promotes illegal activity, or could expose us to legal liability;
• infringes or may infringe a copyright, trademark or other right, or uses a name, logo, likeness or brand without permission;
• is hateful, harassing, threatening, violent, discriminatory, sexually explicit, obscene, vulgar or profane;
• targets, mocks or harasses a real person, group or business;
• is political, religious, divisive or controversial in a way we choose not to be associated with;
• involves drugs, weapons, gangs or similar content we choose not to print; or
• we otherwise do not want to produce, for any reason.

If we refuse or cancel your order before production begins, we will refund the amount you paid for the affected items, and that refund is your only remedy. We are not obligated to explain our reasons. If we discover a problem after production has begun (for example, an infringement claim or false information you provided), we may stop the order and keep payment for the materials and work already completed.

We may also cancel orders that contain obvious pricing, typing or system errors, that appear fraudulent, that we cannot fulfill because materials are unavailable, or that come from customers who have violated these Terms. In those cases we will refund any amount paid for items not delivered.

5. Permission to use designs for promotion and reprints

You keep ownership of the artwork you create. By submitting artwork and placing an order, you grant UBE-YOU a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to:

• store, copy, edit, resize, separate, recolor and reproduce your artwork as needed to produce, correct and reprint your order and any future reorders you request;
• photograph, record and display the finished products and the artwork (including on mockups) on our website, social media, advertising, portfolio, samples, catalogs, trade shows and other promotional and marketing materials, in any media now known or later developed; and
• keep copies of your artwork and order files in our records.

We will not sell your personal designs as our own retail products without your permission. If you do not want a particular order shown in our marketing, email ube@ube-you.com with your order number before your order is completed and we will honor that request going forward. Removing materials already published or printed may not be possible.

Designs, templates, layouts, separations, digital files, screens, film and other materials that we create, or that we create or modify on your behalf, remain the property of UBE-YOU unless we agree otherwise in writing. Artwork services do not include transfer of the editable source files.

6. Proofs, mockups and approval

Mockups and previews on this website, in emails and on proofs are approximate representations to show general size and placement. Actual colors, sizes, positions and fabric appearance will vary. Screens display colors differently than ink on fabric, and colors vary between garment styles, fabrics, dye lots and print methods.

When you check out, approve a proof, pay an invoice or tell us to proceed, you approve the design exactly as submitted, including spelling, content, colors, sizes, quantities and placement. Approved items are final, and we are not responsible for errors you approved. Print placement may vary by up to about one inch (2.5 cm), and print size may vary slightly from size to size, as is normal for garment printing.

7. Prices, payment and taxes

Prices are in U.S. dollars and may change at any time before you place your order. The price shown at checkout or on your invoice is the price you pay for that order. Online orders must be paid in full at checkout. Payments are processed by our payment processor (currently Stripe); we do not store your full card number.

Arizona transaction privilege (sales) tax and any other applicable taxes are added to your order unless you provide a valid exemption certificate before payment. Tax-exempt status cannot be applied after an order is paid.

Discounts, quantity pricing and promotions apply only as stated, cannot be combined unless stated, and may be withdrawn at any time. Quantity pricing is based on the quantity of one design ordered at one time; adding to an order later does not change the price of items already ordered.

8. Production, turnaround and deadlines

Turnaround times on our website, in emails or given in conversation are estimates, not guarantees. Production begins after payment is received and, where applicable, after artwork is approved. Delays can be caused by supplier stock, carriers, weather, equipment problems, artwork issues and other events beyond our control. Unless we have expressly agreed in writing to a guaranteed "in-hand" date (and you have paid any rush fee), we are not liable for any loss, cost or damage caused by a missed event date or deadline, and a late delivery does not entitle you to a refund.

9. Blank garments and substitutions

We buy blank garments from third-party suppliers. Stock levels shown on our website are approximate and change constantly. If an item, color or size becomes unavailable, we may substitute the closest equivalent style, brand or shade, or contact you to choose an alternative or receive a refund for the unavailable items. Garment sizing, fit, fabric, shrinkage and quality are determined by the garment manufacturer. Please review the size information before ordering — wrong sizes are not a defect.

10. Delivery and shipping

Local delivery. We deliver within the area shown at checkout around our Phoenix shop. Orders are delivered to the address you provide and may be left at the door, with a receptionist, or with anyone at that address. Once delivered to the address you gave us, the order is considered received.

Shipping. Shipped orders are sent by the carrier and service you choose. Delivery times are estimated by the carrier and are not guaranteed by us. Title and risk of loss pass to you when the order is handed to the carrier. We will help you file a claim with the carrier for lost or damaged packages, but we are not responsible for carrier delays, loss, theft after delivery, or damage in transit.

You are responsible for giving us a complete and correct address. Orders returned to us or lost because of an incorrect or incomplete address can be re-sent only at your cost. Shipping and delivery charges are not refundable.

11. Heat transfers sold by the inch

Transfer sheets are printed to the files and sizes you submit and are custom products. We guarantee only that the transfers are printed from your files as submitted. You are responsible for application: heat, time, pressure, peel method, garment fabric, pre-pressing, washing and care. We are not responsible for transfers that fail to adhere, crack, peel, discolor or wash out because of application, fabric choice or care, or for any garments or other items they are applied to.

12. Quotes, invoices and bulk orders

Quotes are estimates based on the information provided and are valid for 14 days unless stated otherwise. Final pricing may change if the artwork, quantities, colors, garments or print locations change. Invoices are due by the date shown. We may require full or partial payment before ordering blanks or starting production. Deposits and payments become non-refundable once blanks have been ordered or production has started. Orders are not scheduled until payment is received.

13. Returns, refunds and cancellations

Returns, refunds, reprints and cancellations are governed by our Returns & Refunds Policy, which is part of these Terms. In short: no returns on custom items; we will reprint or refund items with a genuine defect or our own printing error if reported within 7 days of delivery; and orders cannot be canceled once blanks have been ordered or production has started.

14. Chargebacks and payment disputes

If you have a problem with an order, contact us first at ube@ube-you.com or 602-313-9895 so we can try to resolve it. You agree to give us a reasonable opportunity to resolve any issue before disputing a charge with your bank or card issuer.

We keep records of your order, your approval of the design, your agreement to these Terms (including the date, time and network address of your acceptance), communications, and proof of delivery, and we will provide them to your bank to contest any chargeback that is inconsistent with these Terms. If you file a chargeback for an order that was produced and delivered as approved, you remain responsible for the full order amount, and you agree to reimburse us for the chargeback fees and reasonable collection costs we incur, to the extent permitted by law. We may refuse future orders from anyone who files a chargeback without first contacting us.

15. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless UBE-YOU and its owners, employees, agents, suppliers and partners from and against any and all claims, demands, lawsuits, damages, losses, liabilities, judgments, settlements, costs and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your artwork or any content you submit, including any claim that it infringes or violates the rights of any third party; (b) your breach of these Terms or of any law; (c) any information you provide; and (d) your use or resale of the products. We may control the defense of any such claim at your expense, and you will cooperate with us.

16. Disclaimers

Except for the limited remedy in our Returns & Refunds Policy, our products and services are provided "as is". To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that garments or prints will last a particular length of time; durability depends on the garment, washing and care. Follow the garment's care label; washing inside-out in cold water and avoiding high dryer heat will help prints last.

17. Limitation of liability

To the fullest extent permitted by law: (a) our total liability for any claim relating to an order or these Terms is limited to the amount you actually paid us for the specific items that gave rise to the claim; and (b) we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, event costs, travel, or the cost of replacement goods, even if we were told such damages were possible. Some states do not allow certain limitations; in that case our liability is limited to the smallest amount the law allows.

18. Our intellectual property

The UBE-YOU name, globe logo, website, design tool, text, graphics, mockups, photos and software are owned by UBE-YOU or its licensors and are protected by law. You may not copy, scrape, reverse engineer, resell or use them without our written permission, except to use this website for its intended purpose.

19. Use of this website

You agree not to misuse this website, including by uploading malware, attempting to access accounts or data that are not yours, interfering with its operation, placing fraudulent orders, or using automated tools to collect information. We may suspend access or cancel orders for any misuse. We do not guarantee the website will always be available or error-free.

20. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules. Any lawsuit relating to an order or these Terms must be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction, except that either party may bring a qualifying claim in small claims court. Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law. In any action to enforce these Terms or collect amounts owed, the prevailing party is entitled to reasonable attorneys' fees and costs.

21. Changes, severability and other terms

We may update these Terms at any time by posting a new version on this page. The version in effect when you place an order applies to that order. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the rest will remain in effect. Our failure to enforce any provision is not a waiver. These Terms, together with any written invoice or quote we issue, are the entire agreement between you and UBE-YOU about your order, and they override any terms on your purchase order or other documents. We are not liable for failure or delay caused by events beyond our reasonable control. You may not assign your rights under these Terms without our consent.
